PLEASE READ THE FOLLOWING TERMS OF USE ("AGREEMENT") CAREFULLY BEFORE ACCEPTING. THIS IS A LEGAL CONTRACT BETWEEN UPTODATE, INC. ("UPTODATE") AND THE INDIVIDUAL ("YOU") USING (I) THE DIGITAL ARCHITECT DEVELOPER PORTAL AND/OR DIGITAL ARCHITECT CONTENT BROWSER (COLLECTIVELY, "WEBSITES"), (II) ANY CONTENT, DATA, MATERIALS, DOCUMENTATION, INFORMATION, SERVICES, INTERFACES (INCLUDING APPLICATION PROGRAMMING INTERFACES ("APIS")), OR OTHER TECHNOLOGIES MADE AVAILABLE TO YOU VIA THE WEBSITES (COLLECTIVELY, "TECHNOLOGIES"), OR (III) ANY OUTPUTS, MATERIALS, OR OTHER CONTENT MADE AVAILABLE TO YOU THROUGH YOUR USE OF ANY OF THE TECHNOLOGIES ((II) AND (III) COLLECTIVELY THE "LICENSED CONTENT"). BY AGREEING TO THE TERMS HEREIN OR ACCESSING OR USING THE WEBSITES AND/OR LICENSED CONTENT, YOU ACCEPT AND AGREE TO COMPLY WITH ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, YOU ARE NOT PERMITTED TO USE THE WEBSITES AND/OR LICENSED CONTENT.
Applicability: The terms and conditions of this Agreement apply to your use of Licensed Content only when your organization is a Non-Customer with respect to the specific Licensed Content that you are accessing. If your organization is a Customer with respect to the specific Licensed Content that you are accessing, this Agreement does not apply to your access or use of such specific Licensed Content. Rather, your use of the Websites and such specific Licensed Content is governed by the applicable License Agreement.
"Customer" means an organization that has a valid, active license agreement with UpToDate or any of its affiliates that expressly permits access to and use of the specific Licensed Content being accessed by you (the "License Agreement").
"Non-Customer" means any other organization that is not a Customer with respect to the specific Licensed Content being accessed by you.
Before accessing the Websites and any Licensed Content, you are responsible for confirming your organization's status as a Customer or Non-Customer with respect to the specific Licensed Content that you are accessing. Your organization's status is determined solely by the express scope of the applicable License Agreement. For the avoidance of doubt, your organization may be a Customer with respect to certain Licensed Content and a Non Customer with respect to other Licensed Content, depending on the scope of your organization's applicable License Agreements.
Websites and Licensed Content: The Websites enable you to access, test, integrate, and otherwise use the Licensed Content solely in accordance with the terms herein.
Terms of Use: Your use of the Websites and Licensed Content is subject to the following terms:
License. Subject to, and in consideration of, your full compliance with this Agreement, UpToDate grants you a non-exclusive, non-transferable, non-sublicensable, revocable license and right to access and use the Websites and Licensed Content solely to internally assess and/or evaluate the Licensed Content to determine if your organization wants to enter into a license agreement with UpToDate to continue using the Websites and/or Licensed Content. Your access and use of the Websites and Licensed Content is subject to the following usage limits: (a) no more than 1,000 API calls in the aggregate during the Trial Period, and (b) no extension, reset, or carryover of unused API calls beyond the Trial Period. You may not access, use or disclose the Website or Licensed Content for any commercial or production purposes, including in any clinical care or live environment, and may not make available the Website or Licensed Content to your organization's customers, potential customers, patients, or any third party.
Term. You have obtained the right to use and access the Websites and Licensed Content for 30 days from the date on which you are provided with access to the Websites and Licensed Content ("Trial Period"). At the end of the Trial Period, this Agreement and your license to use the Websites and Licensed Content will expire automatically. This Agreement and your license to use the Websites and Licensed Content will immediately terminate if you fail to comply with any term or condition in this Agreement, including, without limitation, exceeding the applicable usage limits.
Termination. Immediately upon expiration or termination of this Agreement, all licenses granted herein shall cease immediately, and you shall destroy all copies of (a) the Licensed Content, (b) other UpToDate intellectual property, or (c) Confidential Information, and/or any derivatives thereof (including from any archive systems or automatic electronic backups), without retaining any copies, extracts or other reproductions in whole or in part.
Ownership. The Websites and Licensed Content, including without limitation all copyrights and other intellectual property rights therein, are the sole and exclusive property of UpToDate (or its parents, subsidiaries, affiliates, or designees) or its licensors. By agreeing to this Agreement, you do not become the owner of the Websites or Licensed Content but are entitled to use the Websites or Licensed Content only in accordance with this Agreement.
Restrictions; No Use In AI. You shall not (i) modify, translate, reverse engineer, decompile, disassemble, or attempt to derive or alter any of the Licensed Content or any underlying source code or software, or create any derivative works, including, but not limited to, transformations, translations, correlations, hashes, vectors, matrices, indices, hyperlinks, tables, extractions, algorithms, and/or models, (ii) use the Licensed Content to train, process or input the Licensed Content by or into automated software, services or tools, including, but not limited to, artificial intelligence solutions, algorithms, machine learning, large language models, robots, spiders, crawlers, search engines, text, data mining (including within the meaning of European Union ("EU") Directive (EU) of the European Parliament and of the Council of 17 April 2019 on copyright and related rights in the Digital Single Market, as amended or other like laws or any other aggregation functionality), or any other aggregation functionality, or (iii) use the Licensed Content or the information contained therein or results derived therefrom, to develop any tools, products or services that could be competitive with the Licensed Content or any other tools, products or services provided by UpToDate or its affiliates.
Restriction Against Transfer. You may not sublicense, assign, share, sell, rent, lease, or otherwise transfer your right to use the Websites and Licensed Content (including your username and password) whether by merger, operation of law, or otherwise.
Compliance with Laws. You represent and warrant that you will use the Websites and Licensed Content in compliance with all applicable laws.
GenAI Services. The Websites and Licensed Content may include functionality powered by generative artificial intelligence (collectively, "GenAI Services"). GenAI Services enable you to submit certain Inputs in order to elicit generative responses ("Outputs"). The GenAI Services are provided for general informational purposes only. The GenAI Services are not intended to make a diagnosis, to recommend a particular therapy, or to otherwise substitute for the judgment of a healthcare professional. You acknowledge that Outputs have not been reviewed by a human and may contain errors.
Confidentiality. You acknowledge and agree that the Websites and Licensed Content contain confidential, non-public, and/or proprietary data, information and trade secrets of UpToDate, its licensors, and/or other third parties. You may not disclose the results of your access and use of the Websites and Licensed Content, including, but not limited to, any features, content generated therein or thereby, Outputs, or other information concerning the development, functionality or management of the Websites and Licensed Content, product development plans, release dates, strategies, pricing, and other technical information (collectively, "Confidential Information"). You agree to hold all Confidential Information in confidence and to use no less than all reasonable efforts to protect the Confidential Information from unauthorized use or disclosure. You further agree to immediately report any violation of this section to UpToDate and use all reasonable means to mitigate any damages or losses that UpToDate may incur as a result of any such violation.
Protected Health Information. You acknowledge and agree that you will not transmit, disclose, or otherwise provide any protected health information to UpToDate under this Agreement.
Feedback and Inputs. You represent and warrant that you have the valid, unrestricted right to provide any Feedback and/or submit any Inputs free of all claims by third parties, and that such provision of Feedback and/or Inputs is not in violation of any confidentiality agreement and does not, and will not, infringe, misappropriate or otherwise violate any intellectual property and proprietary rights, or other rights of any third party. "Feedback" means your suggestions, comments, corrections, discoveries, ideas, improvements, insights, opinions, preferences, suggestions or any other feedback provided by you to UpToDate in connection with your use and access of the Websites or Licensed Content, including, without limitation, with respect to existing, new and potential products, services, technology, features and/or functions. "Input" is any question, query, text, search term, instruction, input, coding, or other information and data you submit or otherwise make available to UpToDate in or to the Licensed Content. Feedback and/or Inputs are voluntary and UpToDate and/or its licensors are not required to hold them in confidence. You agree and acknowledge that (i) UpToDate shall be entitled to use any Feedback provided by you without restriction and for any purpose whatsoever, including, but not limited to, creating derivative works thereof or sharing and commercializing such Feedback. To the extent UpToDate does not own Inputs under this Agreement, you grant UpToDate a perpetual, non-exclusive, non-transferable, non-sublicensable license to use, reproduce, prepare derivative works from, distribute, display, and otherwise use the Inputs for any purpose, including for purposes of operating and improving the Licensed Content and UpToDate's other product and service offerings.
DISCLAIMER. THE WEBSITES AND LICENSED CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. UPTODATE, ITS AFFILIATES AND/OR LICENSORS DISCLAIM AND EXCLUDE ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, COMPREHENSIVENESS, OR COMPATIBILITY OF ANY CONTENT CONTAINED IN THE LICENSED CONTENT RELATING TO ANY MEDICAL TREATMENT, CONDITION, REACTIONS, DRUG USAGE, DIAGNOSIS, PRICES, EFFECTIVENESS OR APPLICABILITY TO ANY PARTICULAR PERSON, IRRESPECTIVE OF ANY COURSE OF DEALING OR PERFORMANCE, CUSTOM OR USAGE OF TRADE. UPTODATE, ITS AFFILIATES AND/OR LICENSORS DO NOT WARRANT THAT THE LICENSED CONTENT OR ANY COMPONENT THEREOF WILL BE UNINTERRUPTED, THAT ITS USE OR OPERATION WILL BE ERROR OR DEFECT FREE, THAT OUTPUTS WILL BE ACCURATE, RELIABLE OR NON-DISCRIMINATORY, THAT THE LICENSED CONTENT OR ANY COMPONENT THEREOF WILL ALWAYS BE ACCESSIBLE OR AVAILABLE, OR THAT ALL DEFECTS WILL BE CORRECTED. YOU SHALL BE SOLELY RESPONSIBLE FOR THE SELECTION, USE AND SUITABILITY OF THE LICENSED CONTENT AND UPTODATE, ITS AFFILIATES AND/OR LICENSORS WILL HAVE NO LIABILITY THEREFOR. YOU'RE RESPONSIBLE FOR YOUR PRODUCTS AND/OR SERVICES AND HOW THEY INTEGRATE AND INTERACT WITH THE LICENSED CONTENT.
LIMITATION OF LIABILITY. NEITHER UPTODATE NOR ANY OF ITS AFFILIATES, DISTRIBUTORS, AGENTS, SUBCONTRACTORS, LICENSORS OR SUPPLIERS WILL HAVE ANY LIABILITY WHATSOEVER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL LOSS OR DAMAGE, INCLUDING WITHOUT LIMITATION DAMAGES FOR ANY BUSINESS INTERRUPTION, LOSS OF SALES, PROFITS, BUSINESS, GOODWILL, OR DATA, OR FOR THE INABILITY TO USE THE LICENSED CONTENT, EVEN IF SUCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FINES, COSTS, EXPENSES AND OTHER LIABILITIES, AND/OR THE SAME ARE REASONABLY FORESEEABLE. THE TOTAL LIABILITY OF UPTODATE AND ITS AFFILIATES, DISTRIBUTORS, AGENTS, SUBCONTRACTORS, LICENSORS AND SUPPLIERS, ARISING OUT OF OR IN RELATION TO THIS AGREEMENT, THE WEBSITES, THE LICENSED CONTENT, AND ANY OTHER CAUSE WHATSOEVER, SHALL NOT EXCEED, IN THE AGGREGATE FOR ANY AND ALL CLAIMS UNDER OR IN RELATION TO THIS AGREEMENT, $100.
THE LIMITATIONS OF LIABILITY AND TYPES OF CLAIMS HEREBY LIMITED AND DISCLAIMED SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND ARE INTENDED BY THE PARTIES TO APPLY REGARDLESS OF THE FORM OF THE CLAIM OR ACTION (WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER TORT, STATUTE OR OTHERWISE), AND REGARDLESS OF WHETHER ANY LIMITED REMEDY PROVIDED FOR IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.
Monitoring. UpToDate may monitor your usage of the Websites and Licensed Content to ensure compliance with the terms and conditions of this Agreement.
Privacy. You acknowledge and agree that the Wolters Kluwer Privacy and Cookie Notice, available at https://www.wolterskluwer.com/en/solutions/uptodate/policies-legal/privacy-policy, applies to your use of the Websites and Licensed Content.
General. If any provision of this Agreement is determined to be invalid or unenforceable under any applicable law, it shall be deemed omitted and the remaining provisions shall continue in full force and effect. This Agreement may be modified only in writing authorized by UpToDate. UpToDate may, in its sole and absolute discretion, modify this Agreement from time to time by posting such modified terms at https://dha.health-ce.wolterskluwer.com/resources/web/dp-cb-license-agreement.html. UpToDate's waiver of any right shall not constitute a waiver of that or any other right in the future. This Agreement, and any disputes arising out of or related hereto, is governed by and shall be governed by and enforced in accordance with the laws of the State of New York, including its statutes of limitations, without regard to any law or statutory provision which would require or permit the application of another jurisdiction's substantive law. The courts located in New York, New York, will have exclusive jurisdiction over any dispute relating to this Agreement, and each party consents to the exclusive jurisdiction of those courts. Except as otherwise expressly set forth herein, this Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof, and all prior agreements, representations, statements, and undertakings, oral or written, are hereby expressly superseded and canceled. In addition to any other provision of this Agreement that by its terms survives expiration or termination of this Agreement, Sections 1, 3(c) through 3(p) will survive in full force and effect following expiration or termination of this Agreement.
